1. Introduction

Welcome to All Set Agency (“All Set,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern the provision of consulting, design, and customer experience services offered by All Set Agency ApS, a company registered in Denmark under CVR number 45222861, with our registered office at Jernbanegade 57
5500 Middelfart, Denmark.

By engaging our services, you (“Client,” “you,” or “your”) agree to these Terms. If you do not agree, you should not use our services.

2. Scope of Services

Our core services include, but are not limited to:

1. Customer Journey Intelligence – Diagnosis, mapping, and prioritization of customer experience improvements.

2. People & Process Clarity – Alignment and optimization of roles, workflows, and operational standards.

3. Brand Consistency in Motion – Audit, correction, and enhancement of brand delivery across channels.

4. CX Infrastructure & Systems – Assessment, streamlining, and future-proofing of customer experience technology stacks.

A detailed scope for each engagement will be outlined in a Statement of Work (SOW) or project proposal, including deliverables, timelines, and responsibilities.

3. Client Responsibilities

To enable us to deliver effectively, you agree to:

• Provide timely access to relevant information, systems, and stakeholders.

• Respond to feedback requests within agreed timeframes.

• Ensure that any materials or data provided are accurate and free of third-party rights restrictions.

• Obtain any necessary internal approvals for project decisions.

4. Fees and Payment Terms

• Rates: Our hourly rates start at 1,500 DKK (approx. £170 / €200 / $220). Daily rates are 12,000 DKK (approx. £1,350 / €1,600 / $1,750).

• Fixed-term contracts: 50% payment is due upfront, and the remaining 50% is due upon completion.

• Invoices: Issued in DKK unless otherwise agreed, payable within 14 calendar days from the send date.

• Late Payment Fee: 2% of the outstanding amount per month (or the maximum allowed by law, whichever is lower).

• Rush & Last-Minute Fees: A 25–50% surcharge applies to urgent work, last-minute scope changes, or expedited turnaround.

• Scope Changes: Any work outside the agreed scope will be billed separately at our standard rates.

5. Intellectual Property

• Ownership: All intellectual property rights in deliverables remain with All Set until full payment is received. Upon full payment, rights transfer to the client, except for pre-existing IP, tools, and methodologies, which remain All Set’s property.

• Portfolio Use: We reserve the right to showcase completed work in our portfolio, marketing materials, and case studies, unless agreed otherwise in writing.

6. Confidentiality & Data Protection

• We treat all non-public client information as confidential and will not disclose it without consent, except as required by law.

• For clients in the EU/EEA, we comply with the General Data Protection Regulation (GDPR). Any personal data provided will be handled in accordance with our Privacy Policy.

7. Service Availability & Delivery

• We will use reasonable efforts to deliver according to agreed timelines, but delays caused by client actions (e.g., late feedback, incomplete materials) may affect delivery dates.

• We do not guarantee uninterrupted availability of our website, communication channels, or third-party tools used in project delivery.

8. Warranties & Disclaimers

• We warrant that services will be delivered with reasonable skill and care in line with industry standards.

• We do not guarantee specific outcomes such as increased revenue, customer acquisition, or market share, as these depend on factors beyond our control.

9. Limitation of Liability

• Our total liability for any claim is limited to the amount paid by the client for the relevant project or three months of fees, whichever is lower.

• We are not liable for indirect, incidental, or consequential damages, including lost profits or data.

10. Termination

• Either party may terminate a project with 14 days’ written notice.

• Upon termination, the client must pay for all work completed to date.

• If the client cancels after project commencement, the upfront payment is non-refundable.

  
  

11. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of Denmark. Any disputes will be subject to the exclusive jurisdiction of the Danish courts, without regard to conflict of law principles.

12. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on our website, and continued use of our services constitutes acceptance of the revised Terms.
